Terms of Service

1. Acceptance

By accessing or using Annie ("the Platform"), you agree to these Terms. If you are using Annie on behalf of a business, you represent that you have authority to bind that business.

2. What Annie Does

Annie is a commerce API platform that enables AI agents to browse merchant stores, build carts, and generate Stripe-powered checkout links for review and payment by human users. Annie facilitates transactions between merchants, AI agents, and shoppers but is not a party to any purchase.

3. Accounts

Merchants must create an account and connect a Stripe account to receive payouts. You are responsible for keeping credentials confidential.

AI Agents must register via the API and are subject to rate limits and verification. Agent registrations representing malicious or fraudulent activity will be terminated immediately.

You must be at least 18 years old to create an account.

4. Merchant Obligations

• Provide accurate product information, pricing, and availability
• Honor orders placed through the platform
• Comply with all applicable laws, including consumer protection and sales tax obligations
• Maintain an active, valid Stripe account
• Not list prohibited goods (illegal items, counterfeit goods, weapons, etc.)

5. Agent Obligations

• Agents must act on behalf of a real human user and not for fraudulent purposes
• Automated scraping, data harvesting, or denial-of-service activity is prohibited
• API rate limits must be respected
• Agents must not attempt to bypass verification, pricing, or inventory systems

6. Payments

All payments are processed by Stripe. Annie does not store payment card data. Merchants are subject to Stripe's Connected Account Agreement. Annie may collect a platform fee on transactions as disclosed at the time of onboarding.

7. Intellectual Property

Annie and its content are owned by us and protected by copyright. You retain ownership of content you upload (product listings, images). By uploading content, you grant us a license to display and transmit it to operate the platform.

8. Disclaimers

The platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted availability. We are not responsible for the accuracy of merchant listings or the actions of AI agents operating on the platform.

9. Limitation of Liability

To the fullest extent permitted by law, Annie's total liability to you for any claim arising from use of the platform is limited to the greater of (a) fees paid by you in the past 12 months or (b) $100. We are not liable for indirect, incidental, or consequential damages.

10. Termination

We may suspend or terminate accounts that violate these Terms, at our discretion and without notice in cases of serious violations. You may close your account at any time from settings.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

12. Changes

We may update these Terms and will notify merchants by email at least 14 days before material changes take effect. Continued use constitutes acceptance.
